SUBSCRIPTION AGREEMENT (“CONTRACT” OR “AGREEMENT” INDISTINCTLY) ENTERED INTO BY THE PERSON IDENTIFIED AS THE SUBSCRIBER THEREOF (“SUBSCRIBER“) AND THE COMPANIES THAT MAKE UP THE COMMERCIAL GROUP KNOWN AS WOBI (“WOBI“), WHO TOGETHER WILL BE REFERRED TO AS THE “PARTIES“, WHO ARE SUBJECT TO THE FOLLOWING STATEMENTS AND CLAUSES:

- The Subscriber declares, in his own right, under oath to tell the truth, that:
a) It is a natural person of legal age, or who legally represents a legal entity, who in both cases has full capacity and sufficient powers to enter into this Agreement by electronic or other means.
b) It is your wish to enter into this Agreement with WOBI, for which you declare that at the time of purchasing the products described herein, you accept and acknowledge that you are aware of and accept the terms and conditions provided for in this Agreement. - WOBI declares, through its representative and under oath to tell the truth, that:
a) It is a group of companies operating under various corporate names that are authorized to use the WOBI brand, all of them commercial companies legally constituted in accordance with the laws of the corresponding countries.
b) It is your wish to enter into this Agreement with the Subscriber.
III.- The Parties mutually recognize as true the aforementioned statements and are interested in entering into this Agreement, in accordance with the provisions of the previous statements and the following tenor:
C L A U S E S
FIRST.- PURPOSE: WOBI grants to the Subscriber a personal annual membership that will give the Subscriber access to a wide variety of digital, and physical or face-to-face business content carefully selected by WOBI (“Subscription” or “Membership“). WOBI grants the Subscriber a right to access the services and content of WOBI under the terms provided herein. The Subscriber may access the Subscription through certain devices connected to the internet and, in the case of face-to-face events, through their official identification and/or customer number with which their tickets will be generated.
Subscribers may access WOBI’s physical or face-to-face events in the country where their Subscription is established, and to the digital content in the geographic locations where Subscribers had acquired their Membership.
WOBI offers Subscriber various membership plans, including the benefits listed on the WOBI website from which Subscriber has purchased their Membership (“Benefits“).
Among these Benefits, WOBI offers the opportunity for the Subscriber to attend the World Business Forum (“WBF“) of the country where the Subscription or its respective renewal was established.
It is clarified that the WBF which the Subscriber is granted to attend, is a face-to-face business congress that is held at the venues and dates indicated on the WOBI website of each WBF (where the Membership has been purchased); and whose access will be generated by WOBI in accordance with the rules, times and formats of the corresponding WBF, as well as according to the category of ticket that has been acquired by the Subscriber.
Only in cases specially reported by the Client to WOBI, the user of the digital content account may be different from the person making use of the pass to the corresponding WBF.
WBF Membership and Access Cancellation and Refunds Policy:
– If Subscriber is unable to attend the WBF of the current year for reasons beyond WOBI’s control, the Subscriber may inform WOBI about the change of pass holder at least 5 (five) days in advance of the date of the corresponding WBF. The user will not have any additional rights to refund, credit, courtesy, etc.
– If Subscriber is unable to attend the WBF of the current year, the Subscriber will have the right to attend the WBF of the following consecutive year (“Next WBF“) together with one (1) other person as companion (courtesy of WOBI), provided that User shall: i) notify WOBI by writing with at least 45 (forty-five) days prior to the date of the corresponding WBF of the current year; ii) renew Subscriber’s Membership for the following year, and iii) Subscriber’s Membership shall be valid (active/current) at the time of attending the Next WBF.
– If Subscriber wishes to cancel his/her Membership, WOBI will proceed to process a refund, provided that the Subscriber shall submit a written notice of cancellation to WOBI with at least 45 (forty-five) days prior to the realization of the WBF included in the annual Membership. The amount that WOBI will reimburse to the Subscriber will be the equivalent of the remaining months of validity of the specific annual Subscription (prorating the amount paid among twelve equal parts). For more clarity: WOBI will divide the total annual amount paid by the Subscriber into 12 (twelve) equal installments and, therefore, the amount to be refunded by WOBI will result from multiplying the value of 1 (one) installment by the remaining months of the Membership that will be canceled.
– Memberships are not cancellable, for any reason, if User has used (attended or transferred) the ticket to the corresponding WBF that was included in the Subscription.
– If the cancellation request has complied with the aforementioned requirements, WOBI will proceed to make the refund no later than 60 (sixty) calendar days after the User has submitted their request.
– In the event that the WBF corresponding to the Subscriber’s Membership is canceled, modified, or cannot take place due to force majeure, unforeseeable circumstances, or events beyond WOBI’s control (including, but not limited to, pandemics, natural disasters, terrorism, civil unrest, or government restrictions), WOBI will not be obligated to provide any refund for the amounts paid by the Buyer/Subscriber in connection with their Membership.
The Subscriber accepts and consents to each and every one of the terms and conditions stipulated in this clause, agreeing to use the WOBI services, in accordance with the provisions of this document, as well as with the laws and regulations in force, or in accordance with any restriction on the use of the service or its content.
SECOND.- VALIDITY AND RENEWAL: The Subscription will be valid for 1 (one) year during which the Subscriber will be able to enjoy without restrictions all the benefits and digital and face-to-face services contracted in its plan or membership (“Term“). Subscriber hereby agrees that the Subscription will be automatically and consecutively renewed for unlimited additional terms of 1 (one) year from the end of the Term of each Subscription. In any case, the Subscriber shall have the right to cancel the renewal of his subscription within 30 (thirty) calendar days following the time of renewal of the Term.
THIRD.- PRICE AND FORM OF PAYMENT: The fee for the service that WOBI grants to the Subscriber is established in accordance with the type of Subscription contracted, which will be accepted by the Subscriber at the time of the effective purchase, which must be settled in a single installment, considering of course various forms and/or means of payment that will allow the Subscriber to have various payment methods. The Subscriber accepts and acknowledges that WOBI may carry out promotions and/or marketing campaigns with different discounts and/or prices at its sole discretion, without this generating a right to the Subscriber to receive any type of refund or compensation from WOBI.
In order to use or enjoy the services and benefits of their Membership, the Subscriber must provide one or more forms of payment, such as debit cards, bank transfers, credit cards and/or intermediary platforms that facilitate transactions and payments or even electronic wallets accepted by WOBI (“Payment Method“).”). The Payment Methods accepted in each country will be published on the websites corresponding to each WBF and/or the site where the Membership is contracted. Subscriber authorizes WOBI to charge his/her Membership and renewal using any Payment Method associated with his/her account, even in the event of rejection or unavailability of the primary payment method. Any outstanding charges will be the responsibility of the Subscriber. If payment for the Subscription and/or its renewal cannot be satisfactorily made, WOBI may suspend your access to the services and benefits of the Membership until WOBI obtains a valid form of payment.
Membership for the WOBI service, as well as any other charges incurred by Subscriber in connection with Subscriber’s use of the WOBI service, such as taxes and possible transaction fees, will be charged to Subscriber’s Payment Method on the specific payment date indicated in the Subscription and/or renewal agreement. Subscriber may authorize their Payment Method prior to collection of charges related to the Membership or service through various methods.
This Subscription-Membership is purchased through a one-time payment, so the Subscriber who has completed the payment will be entitled to enjoy the services and/or benefits immediately and throughout the Term of the Membership, except in cases of cancellation or early termination. To the extent permitted by applicable law and except as expressly provided in this Agreement, payments are non-refundable and no refunds or credits will be given for partially used membership periods or for WOBI Benefits or content not used by Subscriber.
The tax rates to be charged to the Subscriber are based on the applicable rates at the time of annual collection. These amounts may change over time depending on the local tax requirements of the country, state, territory, or even city of subscription. Any changes to tax rates will be applied automatically in accordance with the account information Subscriber provides.
It is possible that WOBI may change the price, type and/or benefits of the Memberships, therefore, for the purposes of the renewal of the same, WOBI will notify the Subscriber of any price change with reasonable notice. Price changes will be effective at the beginning of the next Subscription or Term period, following the date of the price change.
If Subscriber continues to use the WOBI Service after the price change becomes Effective (at renewal), Subscriber accepts the new price, subject to the laws of the matter. If the Subscriber does not agree to the price change, they may reject it by cancelling their Subscription, before the price change takes effect.
FOURTH.- USE OF SUBSCRIBER’S PERSONAL DATA: The Subscriber is responsible for any activity that occurs in the Subscription that it performs with WOBI. To help maintain control over your account and prevent any unauthorized users from accessing your account, you must maintain control over the devices used to access the service, and not disclose to anyone the password or Payment Method details associated with the account. Subscriber agrees to provide and maintain accurate information in connection with his/her account, including a valid email address so that WOBI may send notices to him/her about his/her account.
WOBI may terminate Subscriber’s account or suspend it in order to protect Subscriber, WOBI, or other subscribers to the service from identity theft or other fraudulent activity.
WOBI collects the following categories of personal information about the Subscriber:
- Personal Information: When the Subscriber creates their WOBI account, WOBI collects their contact information (such as their email address) and authentication information for login (such as their password). Depending on how the Subscriber sets up their account and payment method, and what features they use. In the same way, WOBI collects one or more of the following data from the Subscriber: (i) name and surname, (ii) telephone number, (iii) postal address and (iv) other identifiers provided by the Subscriber, including but not limited to tax data for invoicing, company names, tax identification numbers, powers of attorney, corporate acts, tax records, etc.
- Payment Information: WOBI collects Subscriber payment information and other information to process payments, including payment history, billing address, and Payment Methods
- Usage Information: WOBI collects information about Subscriber’s interaction with the WOBI Service and other information about Subscriber’s use of and interactions with the WOBI Service.
- Network and Device Information: WOBI collects information from Subscriber about your computer or any other WOBI-compatible device that you may use to access the WOBI Service, network, and network devices. The information includes the following:
a) Device ID or other unique identifiers, including for your network devices and WOBI-enabled devices on Subscriber’s network;
b) IP addresses (which may be used to determine the Subscriber’s general location, device, city, state/province, and zip code);
c) Software and device characteristics, the referral source, registration information in the mobile app and in the standard web browser, and connection information, including type;
(d)Performance data, such as crash reports, timestamps, debug log messages; and
e) Cookie Data, Resettable Device Identifiers, Advertising Identifiers, and Other Unique Identifiers. - Communications: If Subscriber communicates with WOBI, participates in surveys, or submits feedback, WOBI will collect the content of such communications. Similarly, WOBI will collect details of the communications that will be sent to the Subscriber and information about your interactions with these communications.
- Privacy rights: The Subscriber has the right to confirm whether or not WOBI processes his/her personal information and to access and receive a copy of his/her personal information that WOBI processes. Similarly, WOBI may correct or update Subscriber’s outdated or inaccurate personal information, or request that the personal information it holds about Subscriber be deleted.
- Retention of personal information: WOBI retains the Subscriber’s personal information for as long as necessary to provide the service contemplated in this instrument; manage and develop activities; research, analyze, and improve its services; manage our membership plan; protect security and prevent fraud; and comply with the applicable law of the matter. The retention of personal information is based on many factors, such as the Subscriber’s relationship with WOBI; the nature of the personal information; WOBI’s legal obligations; and the need to defend or resolve current or anticipated legal claims.
WOBI is committed to protecting the Subscriber’s personal data. WOBI will implement appropriate technical and organizational measures in order to protect the security of the Subscriber’s personal data. However, it should be noted that no system is completely secure.
WOBI has implemented various security measures to protect against unauthorized access and unnecessary retention of personal data on its systems. Some of these measures include encryption, access, and retention policies.
FIFTH.- INTERNET PROTOCOL PROTECTION: WOBI uses browser technology for several reasons, including providing its services; administering and developing its activities; researching, analyzing and improving its services; sending marketing and informational messages; managing its membership plans; protecting security and preventing fraud; and complying with the law.
These technologies allow WOBI to collect personal information when using its services. In addition, WOBI may collect information about the Subscriber’s online activities over time, across different websites.
WOBI uses reconfigurable device identifiers to display marketing communications of its services or content on third-party services and to manage its membership plans. WOBI has reasonable administrative, logistical, physical, and managerial measures in place to protect Subscriber’s personal information from loss, theft, and unauthorized access, use, and modification. These measures are intended to provide an adequate level of security against the risks of processing the Subscriber’s personal information.
SIXTH.- USE OF COOKIES AND COMMERCIAL PROMOTIONS: WOBI and advertising agencies use cookies, other similar technologies and device identifiers that can be reconfigured for different reasons.
Cookies are small data files that are usually stored on your device when you access websites and other online services. The text in a cookie contains a sequence of numbers and letters that can uniquely identify a device and may also contain other information. This allows the web server to recognize the browser each time the subscriber connects to that server.
WOBI uses other technologies, such as in-browser storage and pixel tags. Like cookies, these other technologies can store small amounts of data on a device. Pixel tags often work in conjunction with cookies. In many cases, rejecting cookies will reduce the effectiveness of the pixel tags associated with such cookies.
Depending on the device you are using, you may be able to manage your advertising and location preferences through your device settings. Many operating systems provide their own instructions on how to prevent the delivery of personalized in-app ads. WOBI does not control how the operator of the relevant platform allows you to manage personalized ads in the app. Subscriber should review the support materials of their device manufacturer and/or the device settings for the respective operating systems for more details on how to manage such preferences.
SEVENTH.- CONTACT: If the Subscriber has any questions regarding this Agreement, or the use of its personal information, or how to exercise its privacy rights, it should request such information by emailing info@wobi.com. If Subscriber has general questions about WOBI’s service, their account, or how to contact their customer services or visit info@wobi.com.
EIGHTH.- MODIFICATIONS: It is possible that WOBI may make modifications to the Clauses of this Agreement, in which case WOBI will notify such changes to the Subscriber, by reasonable means, before they come into force. In addition, such changes do not apply to conflicts between Subscriber and WOBI, which arose prior to the date of posting of the modifications. Use of the WOBI service following changes to the Agreement shall be deemed to be acceptance of such changes by Subscriber. If the subscriber wishes to stop using the WOBI service due to modifications to the Agreement, he/she may contact WOBI to terminate his/her account. The effective date indicated at the beginning of this document indicates the last date of changes made to the Terms hereof.
NINTH.- APPLICABLE LEGISLATION. For the interpretation and performance of this Agreement, the Parties expressly agree to submit to the applicable provisions of the country from which the Membership has been invoiced, as well as to the jurisdiction of the competent courts of that locality.
